This opportunity is Remote / Hybrid depending on commutability to Maidstone

My client is currently looking to recruit a mid-level corporate lawyer (ideally 6-10+ PQE or equivalent experience of corporate law) to support the existing workload of a busy team, with a significant emphasis on advising businesses, facilitating corporate transactions and helping to support the expansion of the team and development of the Corporate and Commercial practice.

You will be expected to manage multiple matters and client relationships, often as the lead client contact.  Whilst the role will report into the Legal Director in the team there is an expectation that you will be able to work independently on both matters and with clients with appropriate supervision depending upon seniority and experience.  You will also be required to provide support and guidance to more junior members of the Corporate and Commercial team.

You will be responsible for advising clients on all aspects of corporate and company law. The ideal candidate(s) would have experience of the following:

  • Drafting and advising on articles of association and shareholder agreements
  • Employee benefit schemes including EMI, growth shares and other share schemes
  • Investment agreements and equity financing
  • Corporate restructuring and management buy-outs
  • Due diligence on business/company sale and acquisitions and drafting/reviewing 
  • disclosure letters
  • Updating and maintaining precedent bank
  • Ensuring post-transaction completion matters are carried out correctly and on time
  • Support process and workflow improvement initiatives

Experience in supervising more junior fee earners would be beneficial, as would a strong focus on building client relationships and business development.
